The terms and conditions governing use of Lawzana Flow.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Lawzana Ltd ("Lawzana," "we," "us," or "our") governing your access to and use of the Lawzana Flow platform and services (the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and Professional Use

The Service is designed for legal professionals and their teams. By using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You are a licensed attorney, or you are working under the supervision of a licensed attorney, or you are an authorized staff member of a law firm or legal department
  • You have the authority to enter into these Terms on behalf of yourself and, if applicable, your organization
  • Your use of the Service complies with all applicable laws and regulations

3. Description of Service

Lawzana Flow is a practice management platform that provides:

  • Matter and case management tools
  • Document storage and organization
  • Contact and client relationship management
  • AI-powered document analysis and drafting assistance
  • Task management and workflow tools
  • Conflict checking functionality

The Service is a tool to assist legal professionals. Lawzana does not provide legal advice and is not a law firm. The Service does not create an attorney-client relationship between Lawzana and any user or their clients.

4. Account Responsibilities

Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use of your account
  • Ensuring that team members you invite comply with these Terms

Accurate Information

You agree to provide accurate, current, and complete information when creating your account and to update such information as necessary.

5. Professional Responsibility

As legal professionals, you acknowledge and agree that:

  • Bar Compliance: You are solely responsible for ensuring your use of the Service complies with your applicable rules of professional conduct, bar rules, and ethics requirements
  • Human Review: All AI-generated content, analysis, and suggestions require your professional review before use. You must not rely on AI output without independent verification
  • Client Confidentiality: You are responsible for obtaining any necessary client consent for using technology tools in your practice
  • Work Product: You maintain full responsibility for all work product created using the Service, including accuracy, completeness, and appropriateness
  • Supervision: If you supervise others using the Service, you are responsible for ensuring appropriate oversight as required by professional conduct rules

6. AI Features and Limitations

The Service includes AI-powered features for document analysis, drafting assistance, and other functions. You understand and agree that:

  • AI output may contain errors, omissions, or inaccuracies and is not a substitute for professional legal judgment
  • AI does not constitute legal advice and should not be treated as such
  • You must review and verify all AI-generated content before use
  • AI features are subject to usage limits as described in your subscription plan
  • We may update, modify, or discontinue AI features at any time

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Upload content that infringes intellectual property rights of others
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers connected to it
  • Use automated means to access the Service except through provided APIs
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or provide access to the Service to third parties
  • Use the Service to store or transmit malicious code or harmful content
  • Circumvent usage limits, security measures, or access controls

8. Your Content

Ownership

You retain all rights to the content you upload to the Service ("Your Content"). Lawzana does not claim ownership of Your Content.

License to Lawzana

By uploading content to the Service, you grant Lawzana a limited, non-exclusive license to host, store, and process Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or your account.

Your Responsibilities

You represent and warrant that you have all necessary rights to upload Your Content and that Your Content does not violate these Terms or any applicable law. You are solely responsible for the content you upload and its accuracy.

9. Fees and Payment

Subscription Fees

Access to the Service requires a paid subscription. Fees are charged in advance on a monthly basis. Current pricing is available on our Pricing page.

Payment Processing

Payments are processed by Stripe. By providing payment information, you agree to Stripe's terms of service. You authorize us to charge the payment method on file for all fees.

Fee Changes

We may change fees upon 30 days' notice. Continued use after a fee change constitutes acceptance of the new fees.

Refunds

Subscription fees are generally non-refundable. We may, at our discretion, provide refunds or credits in certain circumstances.

10. Cancellation and Termination

Cancellation by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access until then.

Termination by Lawzana

We may suspend or terminate your access if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in conduct that could harm Lawzana, other users, or third parties

We will provide notice where practical before termination, except in cases of severe violation.

Effect of Termination

Upon termination, your right to use the Service ends. You may export your data before termination. We will delete your data in accordance with our Privacy Policy.

11. Intellectual Property

The Service, including its software, design, features, and content (excluding Your Content), is owned by Lawzana and protected by intellectual property laws. These Terms do not grant you any rights to use Lawzana's trademarks, logos, or branding.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • AI features will be accurate, complete, or suitable for any particular purpose
  • The Service will meet your specific requirements or expectations
  • Any errors in the Service will be corrected

LAWZANA DOES NOT PROVIDE LEGAL ADVICE. THE SERVICE IS A TOOL TO ASSIST LEGAL PROFESSIONALS AND IS NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAWZANA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

LAWZANA'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO LAWZANA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if Lawzana has been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless Lawzana and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any rights of a third party

15. Dispute Resolution

Informal Resolution

Before filing any formal dispute, you agree to contact us at [email protected] to attempt informal resolution. Most disputes can be resolved quickly through direct communication.

Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Jurisdiction

Any disputes not resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are located outside the UK, you consent to this jurisdiction.

16. General Provisions

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. For significant changes, we will provide additional notice. Continued use after changes constitutes acceptance.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Lawzana regarding the Service.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. Lawzana may assign these Terms to an affiliate or successor in connection with a merger, acquisition, or sale of assets.
